1. SITE USER AGREEMENT. The X-CEL Security Services Canada Inc (herein called "X-CEL") Web Site is comprised of various Web pages operated by X-CEL (collectively, the "Site"). The Site is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of the Site constitutes your agreement to all such terms, conditions, and notices. Additionally, various X-CEL Web Pages may themselves contain additional terms that govern particular features or offers. In the event that any of the terms, conditions, and notices contained herein conflict with the Additional Terms or other terms and guidelines contained within any particular X-CEL One Web Page, then these terms shall control. X-CEL reserves the right to change the terms, conditions, notices and information contained on the Site, and reserves the right to make changes at any time and for any reason without notice or obligation. Users are prohibited from modifying, copying, distributing, transmitting, displaying, publishing, selling, licensing, creating derivative works or using any Content available on or through the Site for commercial or public purposes. Without in any way waiving any of the foregoing rights, you may download one copy of the material on this Site for your personal, non-commercial home use only, provided you do not delete or change any copyright, trademark or other proprietary notices. Modification or use of the material on this Site for any other purposes violates X-CEL's legal rights. This Site is designed for Users EIGHTEEN years of age or older. X-CEL does not knowingly solicit data from children, not does it knowingly market the Site to children.

Although this Site may be linked to other sites ("Linked Sites"), X-CEL is not, directly or indirectly, implying any approval, association, sponsorship, endorsement, or affiliation with the linked site. By entering this Site you acknowledge and agree that X-CEL has not reviewed all the sites linked to this Site and is not responsible for the Content of any off-site pages or any other site linked to this Site. X-CEL is not responsible for webcasting or any other form of transmission received from any Linked Site. X-CEL is providing these links to you only as a convenience. In the event you elect to obtain X-CEL consumer products or consumer services either through this Site or through other means, your relationship with X-CEL shall be governed by a Contract which you shall be required to execute, and which shall control over any inconsistent term, condition, provision or information contained on the Site. X-CEL’s products and services are available only in certain geographic regions within the Eatern Ontario & Western Quebec. If you are a dealer or other alarm industry or other security professional, and you elect to do business with X-CEL through this Site or through other means, your relationship with X-CEL shall be governed by a contract which you shall be required to execute, and which shall control over any inconsistent term, condition, provision or information contained on the Site. The product and services descriptions and advertisements contained on the X-CEL Site do not constitute an offer to sell products or services, but are solicitations to the User to make an offer to purchase such products and services.
10. NO UNLAWFUL OR PROHIBITED USE. As a condition of your use of the Site, you warrant to X-CEL that you will not use the Site for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the Site in any manner which could damage, disable, overburden, or impair the Site or interfere with any other party's use and enjoyment of the Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Site.
11. TERMINATION/ACCESS RESTRICTION. X-CEL reserves the right, in its sole discretion, to terminate your access to the Site and the related services or any portion thereof at any time, without notice.
12. GENERAL. This Site is designed for use in Canada and is to be construed and evaluated according to Canadian Law.. If you use this Site from locations outside Canada, you are responsible for compliance with any and all applicable local laws. X-CEL makes no representations that the materials contained within this Site are appropriate for locations outside Canada. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation, this paragraph. Users of the Site agree to submit to the laws of Canada.
